Acceptable Use Policy

This Acceptable Use Policy (“AUP”) applies to everyone who accesses the websites and other services of Resonix Labs (USA) Inc. (“Resonix,” “we,” “us”), including resonixusa.com (the “Site”), and to anyone who uses Resonix software or services obtained through a commercial engagement with Resonix Labs (USA) Inc.

It supplements our Terms of Use and Privacy Policy. We may update this AUP from time to time. Continued use of the Site or services after an update means acceptance of the revised AUP.

The Resonix group website at resonix.io is operated by a different Resonix entity and has its own policies. This Site does not offer public software downloads or user login accounts.

You may not:

Security & integrity

• Attempt to gain unauthorized access to any system, account, data, or network, or breach or circumvent authentication, access controls, or security measures.
• Probe, scan, or test the vulnerability of our systems without our prior written authorization, or breach security or monitoring measures.
• Introduce malware, or interfere with or disrupt the integrity or performance of the Site or services (for example denial-of-service or flooding).

Data & content

• Scrape, harvest, crawl, or bulk-download content or personal data except as expressly permitted.
• Use any automated means to collect Site content (including documentation, product descriptions, and benchmark or evidence posts) to train, fine-tune, or build an AI/ML model or dataset, without our prior written consent.
• Misappropriate or infringe others’ intellectual property, privacy, or other rights.
• Copy, republish, or redistribute non-public or confidential materials we provide to you except as expressly permitted in writing.

Software (commercial engagements — not public Site downloads)

This Site does not provide public software downloads. If you receive Resonix software under a separate written agreement, order, or license with Resonix Labs (USA) Inc., you may not:

• Reverse engineer, decompile, or disassemble the software except as that agreement expressly allows.
• Share, copy, or circumvent license keys; exceed your licensed scope; or redistribute software except as permitted by that agreement.
• Use licensed software (or its outputs) to build a competing product in breach of that agreement. (This restriction concerns use of licensed software; it does not restrict reading our public Site.)
• Publish materially misleading, non-reproducible, or undisclosed-configuration benchmarks of our software. Fair, reproducible benchmarks that disclose the configuration, software version, and hardware used are permitted.

Conduct & law

• Use the Site or services unlawfully, fraudulently, or in violation of applicable United States export-control, sanctions, or anti-corruption laws.
• Impersonate others or misrepresent your affiliation; transmit unlawful, harassing, defamatory, or harmful content; or send spam.
• Use Resonix software or services for any high-risk or safety-critical purpose except under a written agreement that expressly permits it.

2. Access

This Site does not offer user accounts. If we provide you non-public materials, credentials, license keys, or other access in connection with a commercial engagement, you are responsible for safeguarding them and for activity under that access. Such access is granted at our discretion, may be logged and audited, and may be revoked at any time.

3. Monitoring & enforcement

We may (but are not obligated to) monitor use for compliance and security, including logging described in our Privacy Policy. We may investigate suspected violations and suspend or terminate access, remove content, and report unlawful activity to authorities. We may take any action we consider appropriate, including legal remedies.

Enforcement under this AUP is in addition to (and does not limit) any remedies under the Terms of Use or any separate commercial agreement.

4. Reporting & security-researcher safe harbor

Report security issues or suspected abuse to security@resonixusa.com. Please give enough detail to let us investigate.

Safe harbor for good-faith research. Although §1 prohibits unauthorized probing of our systems, we will not pursue legal action against security research that, in good faith: (a) follows this reporting process and gives us reasonable time to remediate before any disclosure; (b) avoids privacy violations, data exfiltration or destruction, and any degradation of our services (no denial-of-service, no testing against other users’ data); and (c) does not access more data than necessary to demonstrate the issue. Acting consistently with this safe harbor will be considered authorized conduct; if in doubt, ask us first at security@resonixusa.com.
